Agreement to Terms

By accessing or using Speakly, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the application.

Who You Are Contracting With

Speakly is operated by Rodolfo Bortolin, an independent developer based in Brazil, reachable at support@tryspeakly.com. In these Terms, “we”, “us” and “Speakly” refer to that operator.

Description of Service

Speakly is a desktop voice transcription application that allows you to convert speech to text. The application supports local processing using on-device AI models, as well as cloud-based processing using your own API keys (BYOK).

• Lifetime License ($20 one-time payment)

User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized access. Each license is valid for one person and may not be shared.

Payments and Refunds

The Lifetime License is a one-time payment that grants a perpetual license to use the application — no subscription or recurring fees. Lifetime refers to the lifetime of the product: you may use the app for as long as we offer it. It is a license to use the software, not a transfer of ownership (see License Grant below). Updates and new features are provided at our discretion while the product is actively maintained, and are not guaranteed indefinitely. If Speakly is ever discontinued, your installed version remains usable with Local Models and your own API keys. Payments are processed securely through Stripe.

We offer a 7-day refund, no questions asked: contact us within 7 days of purchase for a full refund. If you are a consumer in the European Union, the United Kingdom or another jurisdiction granting a statutory withdrawal period, that right applies in full and takes precedence over the period above — for digital purchases in the EU that is 14 days from purchase. Statutory consumer rights, including those under the Brazilian Consumer Protection Code, are never reduced by these Terms.

License Grant

Upon purchase, we grant you a personal, non-transferable, non-exclusive license to use the Speakly application. This license is for your personal or professional use and may not be resold or redistributed.

Acceptable Use

You agree not to:

• Use the application for any illegal purpose
• Attempt to circumvent the trial period or licensing system
• Reverse engineer, decompile, or disassemble the application
• Share your account credentials with others
• Use the application to harm, harass, or infringe on others' rights

Your Responsibility When Recording and Capturing

Speakly records your microphone and, for Live Transcription, can capture your computer's audio output; Agent Mode and rules you enable can read the text visible in your active window. You are solely responsible for having the right to record, capture and process that material. Recording other people can require their consent, and the rules differ by country and by state. Before using Speakly in meetings, calls or on other people's information, make sure you have the permission the law where you are requires, and do not use it on material you are not allowed to process.

• Obtain consent from other participants where the law requires it
• Do not capture confidential material you are not authorised to handle
• Comply with your employer's policies and any contractual duty of confidentiality
• Remember that when you use your own API keys, the captured material goes to that provider under their terms

Intellectual Property

Speakly, including its name, logo, and software, is the intellectual property of the developer. You retain full ownership of any content you create using Speakly, including your transcriptions, notes, and prompts.

Disclaimer of Warranties

Speakly is provided "as is" without warranties of any kind. We do not guarantee the accuracy of transcriptions or the availability of the service. The quality of transcriptions depends on factors including audio quality, language, and the AI model used.

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability is limited to the amount you paid for the license.

Indemnification

You agree to hold us harmless from claims, losses and costs arising out of your use of the application in breach of these Terms or of the law — in particular claims arising from recording, capturing or processing material you did not have the right to record, capture or process.

Termination

We reserve the right to terminate or suspend your access to the application if you violate these terms. Upon termination, your license to use the application will be revoked.

Changes to Terms

We may update these Terms of Service from time to time. Continued use of the application after changes constitutes acceptance of the new terms. We will notify you of significant changes.

Governing Law and Disputes

These Terms are governed by the laws of Brazil, and the courts of the operator's domicile in Brazil have jurisdiction. This does not remove the protection of the mandatory consumer law of the country where you live: if you are a consumer, you keep the rights and the forum that your local law grants you, including the right to bring proceedings before your local courts. We will always try to resolve a dispute directly first — write to support@tryspeakly.com.

General

A few standard provisions:

• You must be at least 16 years old, or the minimum age of digital consent where you live, to use Speakly
• If any provision of these Terms is held invalid, the rest stays in force
• Neither party is liable for failures caused by events outside its reasonable control
• We may assign these Terms as part of a transfer of the product; you may not assign them without our consent
• Not enforcing a provision once does not waive it
• These Terms, with the Privacy Policy, are the entire agreement between us about Speakly
